Canada Foundation for Sustainable Development Technology (SDTC) is a not-for-profit foundation that was established in 2001 to identify and support Canadian companies with the potential to become world leaders in developing new environmental technologies. SDTC’s goal is to support companies from start-up through to success and it has invested over $1.28 billion, as of March 2020. Supported companies are creating tens of thousands of jobs and reducing millions of greenhouse gas emissions annually in Canada and around the world.

SDTC is governed by a 15-member Board of Directors. Seven of these members are appointed by the Government of Canada and the remaining eight by the Members of SDTC. The Board of Directors is responsible for the strategic vision of the foundation through four key sub committees: the Audit Committee, Governance and Nominating Committee, Human Resources Committee, and the Project Review Committee. Collectively, the Board of Directors brings experience and expertise from multiple sectors, and represents diversity in gender, language, ethnicity and culture. The Board at SDTC is an opportunity for qualified Canadians to ensure that Canada’s efforts to advance clean technology solutions, deliver real economic and environmental benefits for Canadians.

Education and Experience

  • A degree from a recognized university in a relevant field of study, or an acceptable combination of equivalent education, job-related training or experience;

  • Experience serving as a member of a board of directors for a public or private sector organization or as a senior executive answerable to stakeholders in the public or private sector;

  • Experience in implementing modern corporate governance principles and best practices in a culture of accountability and transparency;

  • Experience in managing human and financial resources, including risk management;

  • Experience in one or more aspects of the commercialization of new technology (development and demonstration, intellectual property management, business founder, venture capital, marketing and sales);

  • Experience with formulating or implementing public policy, especially building collaboration among institutions and programs from different levels of government.

Knowledge, Skills and Abilities

  • Knowledge of science and technologies relevant to climate change or the quality of air, water and soil;

  • Knowledge of legal, regulatory or financial aspects of establishing new businesses in Canada;

  • Knowledge of the Government of Canada's priorities related to innovation and climate change;

  • Ability to contribute effectively to strategic and corporate planning;

  • Ability to anticipate emerging issues and lead organizational change;

  • Ability to develop effective working relationships with other Board members and stakeholders;

  • Ability to read and understand a set of financial statements and demonstrate financial acumen; and

  • Superior communication skills, both written and oral in either official language.

Language Requirements

Proficiency in both official languages would be preferred.

Eligibility Factors and Conditions of Employment

  • Appointees must comply with the Ethical and Political Activity Guidelines for Public Office Holders throughout their appointment as a term and condition of employment. The guidelines are available on the Governor in Council Appointments website, under Forms and reference material.

  • All appointees will be subject to the Conflict of Interest Act. Public office holders appointed on a full-time basis must also submit to the Office of the Conflict of Interest and Ethics Commissioner, within 60 days of appointment, a confidential report in which they disclose all of their assets, liabilities and outside activities.   • Appointees must uphold the highest standards of probity and are expected to demonstrate behaviours in the workplace that afford respect, equality and dignity, to everyone they interact with at work at all times. The Values and Ethics Code for the Public Sector outlines the values and expected behaviours for public servants, including valuing diversity and creating workplaces free from harassment and discrimination. Governor in Council appointees are expected to uphold and respect these values and principles in a positive and active manner.

    • If you are appointed to one of these positions, you must be willing to travel across Canada, as required when travel opportunities resume.

    • You must be available for approximately 12 days per year for Board-related activities and travel, when travel opportunities resume.

    • You must be willing to participate in Board and committee meetings in-person and via video or teleconference as required.

    • Expenses such as airfare, hotel accommodations, and meals incurred due to the Canada Foundation for Sustainable Development Technology business will be reimbursed as per the Canada Foundation for Sustainable Development Technology Directive.

    • A person is not eligible to be appointed as a director if the person:

      • is a member of the Senate, the House of Commons or the legislature of a province;

      • is an employee or agent of Her Majesty in right of Canada or in right of a province;

      • does not ordinarily reside in Canada; or

      • is disqualified under subsection 105(1) of the Canada Business Corporation Act. (statutory)
